1. About We Book Loads

We Book Loads is a freight dispatch service operated by We Book Loads LLC, a Georgia limited liability company. Our services include load booking, broker negotiation, carrier management, and related dispatch services for owner-operators and small carriers.

2. Services Provided

We Book Loads provides the following services to carriers and owner-operators:

• Load booking and freight dispatch on behalf of carriers
• Broker negotiation and rate confirmation management
• AI-assisted broker communication and load tracking
• Per-load profitability analysis and reporting
• Carrier portal access for load and revenue visibility
• Driver and fleet management support
• Factoring coordination and documentation assistance

3. Carrier Eligibility & Onboarding

To use our dispatch services, carriers must:

• Hold an active MC authority issued by the FMCSA
• Maintain valid operating authority and required insurance
• Complete our carrier onboarding process including profile and credentials submission
• Agree to these Terms of Service and our Privacy Policy

We reserve the right to decline or terminate service to any carrier at our discretion.

4. Dispatch Fees & Payment

Our dispatch fees are agreed upon during onboarding and outlined in your carrier agreement. Key terms include:

• Fees are calculated as a percentage of gross load revenue per load booked
• Fee structures vary by service tier — refer to your individual carrier agreement
• Payment is due per the schedule outlined in your carrier agreement
• We Book Loads does not factor loads directly; factoring arrangements are between the carrier and their chosen factoring company
• Disputed invoices must be raised within 5 business days of invoice date

5. Carrier Responsibilities

As a carrier using our services, you agree to:

• Maintain valid MC authority, DOT number, and required insurance at all times
• Notify We Book Loads immediately of any changes to operating authority or insurance
• Honor all rate confirmations and load commitments booked on your behalf
• Provide accurate and timely load status updates and delivery confirmations
• Maintain ELD compliance and provide GPS access as required for load tracking
• Not solicit or negotiate directly with brokers introduced through We Book Loads during the term of service and for 90 days after termination

6. Carrier Portal

Access to the We Book Loads carrier portal at portal.webookloads.com is provided as part of our dispatch services. By accessing the portal, you agree to:

• Maintain the confidentiality of your login credentials
• Not share portal access with unauthorized third parties
• Use portal data only for your own fleet management purposes
• Report any unauthorized access or security concerns immediately

Portal access may be suspended or terminated at any time if these terms are violated.

7. SMS Communications

By providing your phone number and opting in, you consent to receive SMS messages from We Book Loads related to dispatch operations, load updates, and service communications. Standard message and data rates may apply. Reply STOP to unsubscribe at any time. See our Privacy Policy for full SMS terms.

We Book Loads complies with A2P 10DLC requirements for all SMS communications. Your number will never be sold or shared with third parties for marketing purposes.

8. Limitation of Liability

We Book Loads acts as a dispatch intermediary and is not a party to any load agreement between a carrier and a broker or shipper. We are not liable for:

• Broker or shipper non-payment or disputes
• Load cancellations, TONU, or detention disputes
• Accidents, cargo claims, or on-road incidents
• Revenue losses resulting from market conditions or load availability
• Technical outages of third-party systems (ELD, TMS, factoring platforms)

Our total liability to you for any claim arising from our services shall not exceed the fees paid to us in the 30 days prior to the claim.

9. Profitability Guarantee

Where We Book Loads offers a profitability guarantee, the terms of that guarantee are outlined in your individual carrier agreement. The guarantee applies only to loads booked exclusively through We Book Loads during the applicable period and does not cover loads cancelled, refused, or affected by carrier non-compliance.

10. Termination

Either party may terminate the dispatch relationship with 30 days written notice. We Book Loads may terminate immediately for:

• Violation of these Terms of Service
• Loss of operating authority or required insurance
• Non-payment of fees
• Conduct detrimental to We Book Loads or its broker relationships

Upon termination, access to the carrier portal will be revoked and any outstanding fees become immediately due.

11. Intellectual Property

All content on the We Book Loads website, portal, and marketing materials — including text, graphics, logos, and software — is the property of We Book Loads LLC and may not be reproduced or used without written permission.

12. Governing Law

These Terms of Service are governed by the laws of the State of Georgia. Any disputes arising from these terms shall be resolved in the courts of Cobb County, Georgia, or through binding arbitration as mutually agreed.

13. Changes to These Terms

We may update these Terms of Service at any time. Continued use of our services after changes constitutes acceptance of the updated terms. Material changes will be communicated by email or through the carrier portal.
